GENERAL

This website and all its content are operated by Scott Ippolito ("the Photographer"). By accessing this site or purchasing services, you agree to these terms.

These terms are designed to establish clear expectations for both parties while prioritizing client privacy, service quality, and mutual respect.

IMAGE USAGE & PRIVACY

CLIENT PRIVACY (DEFAULT)

All images and client information are confidential by default. The Photographer will not use images or disclose client identity publicly without explicit written permission.

Your name, contact information, location details, and all communications remain strictly private.

WHAT THE PHOTOGRAPHER MAY SHARE (WITHOUT REVEALING YOUR IDENTITY)

The Photographer reserves the right to mention that portrait services were provided (e.g., "Headshots for Billionaires project completed" or "I photographed a billionaire client") without revealing client identity or showing images.

OPTIONAL PORTFOLIO USAGE

If you wish to grant permission for the Photographer to use images for portfolio or promotional purposes, this can be discussed after the session is completed. Such usage is entirely optional and subject to your approval and any restrictions you specify. Permission for portfolio usage may be revoked by the client at any time upon written notice.

You have full control over whether and how your images are used.

YOUR DELIVERABLES

You will receive:

- One signature portrait suitable for large-format printing, selected in consultation with you from a curated set of retouched images

- Full copyright and usage rights to all images delivered from your session

- Digital delivery within thirty days of the session date to allow for retouching

You own your images completely and may use them for any purpose.

THIRD-PARTY CONFIDENTIALITY

CREW & VENDORS

The Photographer will engage crew members, assistants, and vendors (including studio owners, equipment rental companies, and other service providers) as necessary to deliver professional services.

All crew members and vendors with access to the session will be required to sign confidentiality agreements (NDAs) prohibiting disclosure of client identity, session details, or any information related to the session.

PHOTOGRAPHER'S RESPONSIBILITY

The Photographer will use reasonable care in selecting trustworthy crew and vendors and will enforce confidentiality requirements. However, the Photographer cannot guarantee the actions of third parties.

LIMITATION OF LIABILITY FOR THIRD-PARTY BREACHES

The Photographer is not liable for breaches of confidentiality by crew members, vendors, studio owners, or other third parties, even if they have signed NDAs.

In the event of a third-party breach, the Photographer will:

1. Take immediate action to mitigate further disclosure

2. Address the breach with the responsible party

3. Cooperate fully with the client in any legal action

The client's sole remedy for third-party breaches is against the breaching party directly, not against the Photographer.

CLIENT ACKNOWLEDGMENT

By booking this service, the client acknowledges that:

- Multiple individuals may be present during the session (crew, assistants, studio staff)

- All such individuals will be bound by confidentiality agreements

- The Photographer will use reasonable care but cannot guarantee third-party compliance

- The client accepts this inherent risk of engaging professional photography services

SERVICE TERMS

DEPOSIT

A non-refundable deposit of $10,000 is required to reserve your portrait session. Payment of this deposit constitutes acceptance of these terms.

The deposit is non-refundable under any circumstances, including cancellation, rescheduling beyond permitted limits, or failure to complete the session. This ensures your date remains exclusively reserved for you.

BALANCE PAYMENT

The remaining balance of $990,000 is due via wire transfer thirty days prior to the scheduled session date.

Payment must be received and cleared (typically three to five business days) before the session date is confirmed as final.

Wire transfer fees, if any, are the responsibility of the client.

ACCEPTANCE OF BOOKING

The Photographer reserves the right to decline any booking request at his sole discretion. Payment of a deposit does not constitute a confirmed booking until the Photographer has reviewed and accepted the session details. In the event a deposit is declined, a full refund will be issued promptly.

SCHEDULING

You may schedule your session for any date within one calendar year of deposit payment. This gives you maximum flexibility to choose timing that works best for you.

If you do not schedule within this time frame, the deposit is forfeited with no refund.

One rescheduling is permitted, with thirty days’ advance notice at no additional cost. Additional rescheduling requests may be accommodated at the sole discretion of the Photographer and may incur fees.

Sessions canceled within thirty days of the scheduled date result in forfeiture of all payments with no refund.

LOCATION

Your session will take place at a professional studio in a location convenient to you, or at a location of your choice, subject to mutual agreement.

You have flexibility to choose:

- Your home or office

- A private studio booked specifically for your session

- Any other location that meets safety and technical requirements

All proposed locations must be legally accessible, safe, and suitable for professional photography equipment and crew. The Photographer reserves the right to decline any location that is deemed impractical, unsafe, or legally restricted.

For sessions requiring international travel, additional costs may apply and will be discussed upon booking.

The Photographer will work with you to identify the best possible location for the vision and your convenience.

COPYRIGHT & INTELLECTUAL PROPERTY

YOUR IMAGE RIGHTS

You retain full copyright and usage rights to all images delivered from your session.

The Photographer may request permission to use images for portfolio purposes after the session. Such usage is subject to your approval and any restrictions you specify (including anonymization or non-disclosure of identity).

All content on this website, including text, images, graphics, logos, and design elements, is the exclusive property of Scott Ippolito and is protected by U.S. and international copyright laws.

The name "Headshots for Billionaires" and all associated branding are proprietary to Scott Ippolito.

Unauthorized reproduction, distribution, or use of any content from this site is strictly prohibited without written permission.

LIMITATION OF LIABILITY

The Photographer's total liability for any claim arising from services provided shall not exceed the total amount paid by the client.

The Photographer is not liable for any indirect, incidental, or consequential damages arising from the service.

In the event of illness, emergency, or circumstances beyond the Photographer's control that prevent completion of the session, the refund and rescheduling terms outlined in the Refunds and Cancellations section shall apply.

FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including but not limited to: natural disasters, war, terrorism, government restrictions, or pandemics.

In such cases, the Photographer will work with you to reschedule or provide alternative arrangements that accommodate your needs.

DISPUTE RESOLUTION

These terms are governed by the laws of the State of Georgia, United States.

Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing formal legal action.

If negotiation fails, any disputes arising from these terms or the services provided shall be resolved through binding arbitration in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association.

Both parties waive the right to trial by jury.

REFUNDS AND CANCELLATIONS

DEPOSIT ($10,000) Non-refundable under all circumstances. Reserves your session date.

BALANCE ($990,000) The balance is due via wire transfer thirty days prior to the session. Once received, the balance is non-refundable.

If the client cancels before the balance has been paid, only the deposit is forfeited.

POST-SESSION No refunds after the session has been completed and the image delivered.

RESCHEDULING One rescheduling permitted with thirty days' notice, subject to availability.

PHOTOGRAPHER CANCELLATION If the Photographer is unable to fulfill the session due to illness, emergency, or circumstances beyond control:

Client will be offered rescheduling (preferred option)

Or: Full refund of all payments ($1,000,000)

The Photographer's liability is limited to the refund of payments made. No additional damages or compensation.

MODIFICATIONS

The Photographer reserves the right to modify these terms at any time. Changes will be posted on this page with an updated effective date.

If you have already paid a deposit, you are subject to the terms in effect at the time of your deposit payment. Changes will not affect existing bookings.

PAYMENT PROCESSING

All payments are processed through Stripe. By making a payment, you also agree to Stripe's Terms of Service (stripe.com/legal).

Credit card processing fees are included in the stated price. Wire transfer fees are the responsibility of the client.

Your payment information is handled securely and is not stored by the Photographer.
